Terms of Service

These Terms of Service (“Terms”) govern your use of TradeInvoice.ca at https://www.tradeinvoice.ca and related free tools (the “Service”), operated by TradeInvoice.ca (“we,” “us,” or “our”).
By creating an account, accessing the dashboard, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
These Terms are a general template tailored to this product. They are not a substitute for advice from a lawyer licensed in your province.
1. The Service
TradeInvoice.ca provides web-based tools for trades businesses, including job and client organization, quotes and invoices, tool sheets from calculators, document sharing, and optional Premium features.
Free calculators and document generators may be available without an account. Signed-in features require registration.
We may change, suspend, or discontinue features with reasonable notice when practical. We do not guarantee uninterrupted or error-free operation.
2. Accounts and eligibility
You must be able to form a binding contract under applicable law and use the Service for legitimate business purposes.
You are responsible for your account credentials, for activity under your account, and for providing accurate information. Notify us promptly of unauthorized access at support@tradeinvoice.ca.
We may refuse, suspend, or terminate accounts that violate these Terms or create risk for the Service or other users.
3. Free plan and Premium
Free accounts include core features subject to limits, including up to 15 documents (quotes, invoices, and tool sheets combined) and up to 40 job photos. Jobs and clients are not capped on Free under current product settings. Limits may change; the product and billing pages show current Free vs Premium differences.
Premium is a paid subscription billed through Stripe. By upgrading, you authorize recurring charges according to the plan you select until you cancel.
You can manage or cancel Premium from the billing area of your account (subject to Stripe and plan rules). Cancellation typically stops future renewals; you retain access until the end of the paid period unless otherwise stated at checkout.
Fees are generally non-refundable except where required by law or explicitly offered by us. Taxes may apply based on your location.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes
- Upload or share content that infringes others’ rights or contains malware
- Attempt to access other users’ accounts or data without authorization
- Probe, scan, or overload our systems, or bypass rate limits or security
- Scrape the Service in a way that harms performance or violates these Terms
- Misrepresent your identity or your authority to act for a business
- Use public share links to harass, spam, or expose others’ personal information unlawfully
We may remove content, disable share links, or suspend accounts when we reasonably believe these rules are violated.
5. Your content
You retain ownership of content you enter (including client details, job notes, document text, and images).
You grant us a limited licence to host, process, display, and transmit that content solely to provide and improve the Service (for example saving documents, generating PDFs, and serving share links you enable).
You represent that you have the right to use and store the information you enter, including personal information about your clients and contacts, and that you will handle that information lawfully in your own business.
7. Calculators and free tools
Field calculators and similar tools provide estimates only. They are not engineering, architectural, surveying, building-code, or professional design advice.
Always verify quantities, materials, waste factors, and code requirements on site and with qualified professionals, manufacturers, and authorities having jurisdiction before ordering materials or performing work.
We are not liable for decisions made solely on calculator outputs.
8. Quotes, invoices, and tax
Document templates and tax helpers are provided to assist bookkeeping and client communication. They are not legal, accounting, or tax advice.
You are solely responsible for the accuracy of amounts, taxes (GST, HST, PST, QST, or exemptions), licences, and compliance with laws in your province or territory.
We do not file taxes for you or guarantee acceptance of documents by clients, lenders, or governments.
9. Our intellectual property
The Service, including software, design, branding, and TradeInvoice.ca trademarks, is owned by us or our licensors. You may not copy, reverse engineer, or resell the Service except as allowed by law or written permission.
Feedback you send may be used by us without obligation to you.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that documents or calculations will meet your requirements.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) CAD $50, IF YOU USE ONLY FREE FEATURES.
Some provinces do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
12. Indemnity
You agree to defend and indemnify us against claims arising from your content, your use of share links, your violation of these Terms, or your violation of third-party rights or law, except to the extent caused by our willful misconduct.
13. Termination
You may stop using the Service and delete your account at any time from Account settings.
We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive termination.
14. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules. Courts located in that jurisdiction will have exclusive venue for disputes that are not resolved informally, except where prohibited by consumer protection law.
15. Changes to these Terms
We may update these Terms by posting a new version on this page and updating the “Last updated” date. Material changes may be highlighted in the product when practical. Continued use after the effective date constitutes acceptance, except where law requires otherwise.
